Client Work Product

Upon full payment for services rendered, you will own the deliverables created specifically for you ("Work Product"). However, we retain ownership of:

• Pre-existing materials and templates
• General methodologies and processes
• Tools and frameworks developed independently

We reserve the right to use general knowledge, skills, and experience gained from projects in future work.

Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of issuance unless otherwise specified
• Late payments may incur interest charges
• Some services may require upfront payment or deposits
• Subscription services are billed monthly or annually as agreed

Warranties and Disclaimers

We strive to provide high-quality services, but we make no warranties or representations about the accuracy or completeness of the Services' content or the content of any websites linked to our Services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us for the Services in the 12 months preceding the claim.

Confidentiality

Any confidential information shared during the course of our engagement will be protected and not disclosed to third parties, except as required by law or with your consent. Specific confidentiality terms may be outlined in separate Non-Disclosure Agreements (NDAs).

Termination

We reserve the right to terminate or suspend your access to our Services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts located in Colorado Springs, Colorado.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
